Major Wendy’s Franchisee Seeks Chapter 11 Bankruptcy Relief
Meritage Hospitality files Chapter 11 after closing 60 Wendy’s stores as rising costs and weaker sales pressure franchise-level economics nationwide.
Operator of 314 Wendy’s Restaurants Begins Financial Restructuring After Closing Underperforming Locations
One of the largest Wendy’s franchise operators in the United States has entered Chapter 11 bankruptcy protection as it works to restructure its finances following a difficult period for restaurant-level performance.
Meritage Hospitality Group filed for Chapter 11 protection on September 17, 2026, in the U.S. Bankruptcy Court for the Western District of Michigan. The Grand Rapids-based restaurant company currently operates 314 Wendy’s restaurants across 15 states, along with one Bojangles location and five independently branded restaurants.
The filing does not mean Wendy’s itself has filed for bankruptcy. Meritage is an independently owned franchise operator that has been part of the Wendy’s system for more than two decades.
Meritage said its restaurants are expected to continue operating during the restructuring process. The company also intends to continue paying wages and benefits to approximately 9,000 employees, subject to customary court approvals.
Meritage Had Already Closed 60 Wendy’s Locations
The bankruptcy filing follows a significant effort by Meritage to improve the economics of its restaurant portfolio.
Earlier in 2026, the company closed approximately 60 underperforming Wendy’s restaurants as management attempted to concentrate resources on stronger locations. Meritage also exited or modified breakfast operations at roughly 120 weaker-performing restaurants.
Those moves were part of a broader restructuring program designed to reduce expenses and improve store-level profitability. The company also cut more than $7 million in general, administrative and operating expenses.
Meritage had been working with lenders and Wendy’s for more than a year before deciding that a court-supervised restructuring offered the best path toward addressing its financial obligations.
Restaurant-Level Profitability Came Under Pressure
Meritage’s difficulties developed as operating conditions became increasingly challenging across parts of the quick-service restaurant sector.
The company reported that store-level EBITDA declined sharply in 2025, with profitability falling to levels not experienced by the operator in decades.
Several pressures contributed to the deterioration.
Higher beef costs placed additional strain on restaurant margins. Heavy discounting increased pressure on average restaurant economics, while weaker customer traffic and concerns about the effectiveness of Wendy’s marketing also affected sales performance.
For a large multi-unit franchisee, relatively small changes in food costs, labor, traffic or discounting can create a substantial financial impact when multiplied across hundreds of restaurants.
Meritage’s dependence on Wendy’s is particularly significant because the burger chain represents nearly all of the operator’s restaurant portfolio.
Wendy’s Is Working Through Its Own Turnaround
The bankruptcy comes at a challenging moment for the broader Wendy’s system.
For the second quarter of 2026, Wendy’s reported that U.S. same-restaurant sales decreased 7%. U.S. systemwide sales declined 8.2%, contributing to a 6.5% decrease in global systemwide sales.
Wendy’s finished the quarter with 7,180 restaurants worldwide, including 5,724 in the United States and 1,456 internationally.
The company has acknowledged that traffic, value perception and franchisee economics have not been meeting expectations.
Under President and CEO Bob Wright, Wendy’s has begun implementing a turnaround strategy focused on five major priorities: strengthening the menu and value proposition, improving marketing effectiveness, raising operational performance, expanding digital engagement and using its restaurant portfolio as a platform for future growth.
Those initiatives will be closely watched by franchise operators because improving franchisee-level profitability is essential to supporting reinvestment, remodeling and future development.
Meritage Remains Confident in Wendy’s Long-Term Potential
Despite entering Chapter 11, Meritage has indicated that it still sees an opportunity for Wendy’s to recover.
The restructuring process is intended to give the operator greater financial flexibility while it evaluates strategic alternatives and works toward a more sustainable capital structure.
Unlike a liquidation, Chapter 11 generally allows a business to continue operating while reorganizing its financial obligations under court supervision.
For customers, that means the filing is not expected to result in the immediate closure of Meritage’s remaining Wendy’s restaurants.
For Wendy’s, however, the restructuring of an operator controlling more than 300 restaurants highlights the importance of improving unit-level economics across the franchise system.
Franchisee Economics Move Into the Spotlight
The Meritage situation illustrates how rapidly financial pressure can build for even large and experienced multi-unit restaurant operators.
Restaurant franchises continue to face higher commodity and labor expenses while competing aggressively for consumers who have become increasingly focused on price and value.
Large franchise organizations can benefit from scale, purchasing power and experienced management teams, but they also carry significant fixed expenses and financial obligations across extensive portfolios.
Meritage has already reduced its restaurant count, adjusted operating hours and cut expenses. Chapter 11 now provides another mechanism for the company to reorganize while continuing to operate its remaining restaurants.
The next phase will depend not only on Meritage’s restructuring efforts but also on whether Wendy’s broader turnaround succeeds in restoring traffic, improving restaurant profitability and strengthening the economics of its franchise system.
